  3. Quotations and Agreements

    • All quotations provided are valid for the period stated on the quotation.
    • A contract is formed only when we issue a written confirmation of acceptance or an agreed purchase order.
    • Any changes to the scope, timing, or deliverables must be agreed in writing by both parties.

  4. Client Responsibilities

    To enable us to provide our services effectively, clients agree to:

    • Provide accurate and complete information relevant to the project.
    • Ensure access to necessary systems, documentation, and personnel where required.
    • Review deliverables promptly and provide timely feedback.

    Failure to do so may affect the delivery schedule or outcomes.

  5. Intellectual Property

    • Unless otherwise agreed in writing, all intellectual property rights in designs, software, documentation, and deliverables created by Informatix Ltd remain the property of Informatix Ltd until full payment has been received.
    • Upon full payment, intellectual property rights are typically transferred to the client for the agreed deliverables.
    • Pre-existing intellectual property of either party remains the property of that party.

  6. Payment Terms

    • Payment terms are specified in the quotation or contract.
    • Late payments may incur interest at the maximum rate permitted by law.
    • All fees are exclusive of VAT, which will be added where applicable.

  7. Limitation of Liability

    • Informatix Ltd provides services using reasonable skill and care.
    • To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential losses.
    • Our total liability for any claim arising in connection with our services is limited to the total fees paid for the specific services giving rise to the claim.

  8. Confidentiality

    Both parties agree to treat all information shared during the engagement as confidential, unless disclosure is required by law or agreed in writing.

  9. Termination

    • Either party may terminate the contract in writing if the other party materially breaches the agreement and fails to remedy the breach within a reasonable period.
    • Upon termination, the client must pay for all work completed up to the termination date.

  10. Governing Law

    These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

  11. Changes to Terms
